“Agreement” means this End User License Agreement (EULA), including any additional terms incorporated by reference.
“User” means any individual who accesses, installs, purchases, or uses TODDLEEDOO Products, Content, or Services.
“TODDLEEDOO” means TODDLEEDOO, the owner and licensor of the Products, Content, and Services covered by this Agreement, acting through its official accounts and channels, including, without limitation, its accounts within the Second Life platform (such as ToddleeDooStore Resident and, on an occasional basis, Bit McMillan).
“Product” means any product distributed within the Second Life platform by TODDLEEDOO, including but not limited to the ToddleeDoo, TweeneeDoo, Head+, and CardeeDoo product lines, and any associated updates, add-ons, components, or Developers Kits made available by TODDLEEDOO.
“Service” means any service provided or made available by TODDLEEDOO in connection with its Products, including customer support through official channels and access to virtual spaces operated or hosted by TODDLEEDOO.
“Developers Kit” means any file, digital asset, or reference material provided by TODDLEEDOO for use by third-party creators for development, customization, or creation of compatible Third-Party Content.
“Content” means any materials, creations, or assets made available by TODDLEEDOO, in any form, including, without limitation, Products, Services, Developers Kits, as well as logos, images, text, graphics, and other promotional or informational materials.
3. Grant of License
TODDLEEDOO grants the User a limited, non-exclusive, non-transferable license to use TODDLEEDOO Products and any associated Content, including Developers Kits, using only original, lawfully acquired, and properly licensed software, including a validly licensed copy of the Second Life Viewer and/or any other third-party viewers officially endorsed by Linden Lab. The use of pirated, cracked, modified, unauthorized, or otherwise illegal software in connection with TODDLEEDOO Products or Content is strictly prohibited.
4. Copyright and Intellectual Property
TODDLEEDOO Products, including but not limited to wearable objects, scripts, textures, add-ons, and Developers Kits, are protected by copyright laws and international treaties. Derivative works are only permissible with prior authorization from TODDLEEDOO, using officially distributed files (“Developers Kits”), and solely for the purpose of creating material compatible with the original Product. Redistribution, resale, transfer, or sharing of TODDLEEDOO Products, Content or Developers Kits files, in whole or in part, whether free of charge or for consideration, is strictly prohibited without the prior written consent of TODDLEEDOO. Additionally, any attempt to replicate, reproduce, or create unauthorized Derivative Works of TODDLEEDOO Products, as well as any form of Reverse Engineering, including analysis, extraction, decompiling, disassembly, or similar technical inspection, of any TODDLEEDOO Products or Developers Kits files, is strictly prohibited to the extent permitted by applicable law.
5. User Conduct
The User agrees not to use TODDLEEDOO Products and services in any manner that is offensive, violent, or adult-oriented. The User shall not modify, alter, exhibit, display, or perform TODDLEEDOO Products in a way that violates this agreement or the Second Life Terms of Service (TOS).
6. Disclaimer of Liability
TODDLEEDOO is not responsible for the conduct of its users. Additionally, TODDLEEDOO shall not be liable for any secondary, incidental, or consequential damages that may arise due to accidental malfunction (including, without limitation, lost profits, business interruption, or loss of information) or misuse of the Products by the User. While TODDLEEDOO endeavors to ensure that its Products are safe and functional, the User acknowledges that TODDLEEDOO cannot guarantee uninterrupted or error-free operation.
7. Termination
TODDLEEDOO reserves the right to suspend or terminate the User's access to TODDLEEDOO Products or services at any time, for breach of this Agreement or for legitimate business reasons, without prior notice, to the extent permitted by applicable law.
8. Additional Terms
Certain TODDLEEDOO Products, Content, or Developers Kits may be subject to additional or separate license terms provided at the time of distribution. Such additional terms are incorporated by reference into this Agreement and shall govern the use of the applicable Products or materials. In the event of a conflict between this Agreement and any such additional terms, the additional terms shall prevail solely with respect to the relevant materials.
9. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Italy, without regard to its conflict of laws principles. The Parties shall seek to resolve any dispute arising out of or in connection with this Agreement through amicable negotiations. If no amicable resolution is reached, such dispute shall be settled by arbitration administered by the Milan Chamber of Arbitration, in accordance with its applicable Rules. Nothing in this Agreement shall prevent TODDLEEDOO from pursuing remedies for copyright or intellectual property infringement under applicable laws, including the Digital Millennium Copyright Act (DMCA), the EU Copyright Directive (EUCD), and other applicable laws or treaties. Criminal copyright or intellectual property offenses shall be governed by mandatory criminal laws and shall not be subject to arbitration.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.10. Acceptance of Terms
By using TODDLEEDOO Products, the User acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement. If the User does not agree to these terms, they should refrain from using TODDLEEDOO Products.
